Terms of Service

The plain-language contract for BreakCast OS™. The software license (EULA) is folded in as Section 3. Refund and cancellation terms live in Sections 5 to 7 and are restated on the Refund and Cancellation page.

PLEASE READ: Section 17 of these Terms contains a BINDING INDIVIDUAL ARBITRATION provision and a CLASS ACTION WAIVER. It affects how disputes between you and LiveCast are resolved. You acknowledge it by checkbox at signup, and you may opt out within 30 days as described in Section 17.

These Terms of Service (the "Terms" or this "Agreement") are a contract between you and LogiRoot AI Inc. d/b/a LiveCast Systems ("LiveCast", "we", "us", "our"). "You" means the person or business accepting these Terms. BreakCast OS (the "Service") is offered in the United States and is for users 18 years of age or older.

1. Acceptance and eligibility

You accept these Terms by checking the acknowledgment box at signup, by clicking through checkout, or by using the Service. If you do not agree, do not use the Service.

  • You must be at least 18 years old.
  • The Service is offered in the United States.
  • The Service is a business tool for breakers and live sellers. You are using it for business purposes, and if you accept for a company, you confirm you have authority to bind it.

2. The Service

BreakCast OS is broadcast tooling for live breaks and live selling. It includes:

  • The hosted board: your branded break board, served as a URL you add to your streaming software as a browser source.
  • The controller: a touch console for your phone or tablet that drives the board during a show.
  • The helper app: an optional desktop companion that connects the Service to your local streaming setup for features that need it, such as camera and scene switching.

We improve the Service continuously. Features may be added, changed, or retired, and the hosted Service may be modified at any time.

3. Software license, not sale

This section is the end user license agreement (EULA) for all software we provide, including the hosted Service, the controller, and the helper app.

  • While you are subscribed and in good standing, we grant you a limited, revocable, non-transferable, non-exclusive license to use the hosted Service and to install and use the helper app on devices you control, for your own business use.
  • Your subscription is a license, not a sale. You do not acquire ownership of any software, hosted or installed.
  • You may not redistribute, resell, sublicense, rent, or lease the software or the Service; copy it except as needed for normal use; reverse engineer, decompile, or disassemble it except where the law allows this despite these Terms; or circumvent any technical or licensing protections.
  • The hosted Service may be modified, updated, or discontinued as described in these Terms.
  • All intellectual property in the Service and the software remains ours. No rights are granted except those stated here.

4. Accounts and security

  • Give us accurate account information and keep it current.
  • You are responsible for your credentials and for activity on your account. Keep sign-in links and controller sessions private.
  • Tell us promptly at legal@livecastsystems.com if you suspect your account is compromised.
  • We may suspend an account we reasonably believe is compromised, to protect you and the Service, and will restore access once it is secured.

5. Fees and billing

  • The Service costs a $200 one-time build fee plus a monthly subscription of $99 per month (or $79 per month at the founding-breaker rate, limited to the first 25 founding subscriptions, while available). Prices are in US dollars.
  • Payments are processed by Stripe. We never store your card numbers.
  • Auto-renewal disclosure: your subscription renews automatically each month and your payment method is charged at each renewal until you cancel. This is disclosed clearly before checkout.
  • Cancel anytime in one click in the customer portal. Cancellation takes effect at the end of the current billing period. No calls, no forms, no retention scripts.
  • Sales tax, where applicable, is calculated and collected via Stripe Tax.

6. 14-day money-back guarantee

We offer a precise 14-day money-back guarantee:

  • It applies to your first purchase only, one per customer.
  • Request it within 14 days of your initial payment by emailing legal@livecastsystems.com from your account email.
  • We refund your $200 build fee and your first month ($99 standard rate or $79 founding rate, whichever you paid).
  • On refund, your entitlement is revoked: hosted board URLs stop serving, and access to generated assets and downloads ends.

7. Payment failure and suspension

If a renewal charge fails, we do not cut you off abruptly. Here is exactly what happens:

  • Your account enters a grace period and payment retries begin. We send five notifications across five days: an email plus a persistent banner in your dashboard and controller on day 0, day 1, day 2, day 3 (which warns that service pauses in 2 days), and day 4 (a final notice that service pauses tomorrow).
  • On day 5, if payment has still not succeeded, service is suspended: the board URL serves a "subscription paused" card, the controller locks to a pay-now screen, the helper app locks, and downloads are gated.
  • We never suspend you mid-show. If a live break session is actively connected when suspension is due, suspension takes effect when that session ends, not during it.
  • Each notification is logged (timestamp, channel, template version), so the record shows exactly five notices before any suspension.
  • Payment success at any point restores service instantly and clears the banners.

8. Acceptable use

You agree to use the Service only for lawful purposes. You will not:

  • Upload or display content you do not have the rights to use, including logos, marks, or artwork belonging to others.
  • Use league or team marks you lack rights to. Whether you have such rights is your responsibility, not ours.
  • Abuse AI-assisted features, including attempts to make them act outside their intended product function.
  • Attempt to access another organization's data, boards, sessions, or accounts.
  • Probe, disrupt, overload, or interfere with the Service or its security.

We may remove content or suspend accounts that violate this section.

9. Your content and uploads

  • You keep ownership of the logos, brand assets, and content you upload.
  • You grant us a license to host, process, and display that content solely to provide the Service to you, for as long as your account exists.
  • You represent that you have the rights to everything you upload.

10. Your buyers' data

When you record buyer activity through the Service, you are the controller of your buyers' records and we act as your processor and service provider. Our processing of buyer data is governed by the Data Processing Addendum, which is incorporated into these Terms by reference. Buyer email addresses are collected only through the VIP consent flow, never scraped or bulk-imported without consent evidence.

11. Copyright complaints (DMCA)

We respect copyright and follow the Digital Millennium Copyright Act, and we maintain a repeat-infringer policy: accounts that repeatedly infringe are terminated.

To report claimed infringement, send a notice with the elements required by 17 U.S.C. 512(c)(3) (identification of the work, the material and its location, your contact information, the good-faith and accuracy statements, and your physical or electronic signature) to our designated agent, registered with the U.S. Copyright Office:

If your material was removed and you believe that was a mistake, you may send a counter-notice with the elements required by 17 U.S.C. 512(g)(3) to the same agent. We will forward it to the original complainant and, unless they file a court action, may restore the material in 10 to 14 business days.

12. Disclaimers

  • The Service is provided "AS IS" and "AS AVAILABLE". To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not promise uninterrupted or error-free operation, and these Terms contain no uptime warranty. Internal reliability targets are not customer promises.
  • LiveCast is not affiliated with, sponsored by, or endorsed by any sports league, team, card manufacturer, or streaming platform.
  • We provide broadcast tooling. Your breaks, your sales, your buyer relationships, and your compliance with the rules of the platforms you stream and sell on are your own activity and your own responsibility.

13. Limitation of liability

  • To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
  • Our total liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months before the event giving rise to the claim.
  • These limits do not apply where the law does not allow them to be limited, including liability for fraud, willful misconduct, or gross negligence, and they do not limit your payment obligations or either party's liability under Section 14.

14. Indemnification

You will defend and indemnify LiveCast against third-party claims arising from your content and uploads, your breaks and sales, your buyer relationships, your violation of these Terms or the law, or your compliance obligations under the terms of the platforms you use. We will notify you promptly of any such claim and may participate in the defense with our own counsel.

15. Assignment

You may not assign or transfer this Agreement, or any of your rights or obligations under it, in whole or in part, without our prior written consent, and any attempted assignment without that consent is void. We may assign this Agreement, in whole or in part, without your consent, in connection with a merger, corporate reorganization, or sale of all or substantially all of the assets or business to which this Agreement relates, or to any affiliate or successor in interest. This Agreement binds and benefits the parties and their permitted successors and assigns.

16. Termination

  • You may terminate at any time by cancelling in the customer portal (Section 5).
  • We may terminate or suspend for material breach of these Terms, for the payment process in Section 7, or if we discontinue the Service (with reasonable notice).
  • Effect of termination: your hosted board URLs stop serving. You have a 30-day window to export your data, after which it is deleted on the schedule described in the Privacy Policy.
  • Sections that by their nature should survive (including Sections 3, 9 to 15, 17, and 18) survive termination.

17. Arbitration and class action waiver

THIS SECTION REQUIRES BINDING INDIVIDUAL ARBITRATION OF DISPUTES AND WAIVES CLASS ACTIONS. READ IT CAREFULLY. YOU MAY OPT OUT WITHIN 30 DAYS.

  • Informal first: before filing, either party will email the other (for us: legal@livecastsystems.com) and allow 30 days to resolve the dispute informally.
  • Binding individual arbitration: any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted by a single arbitrator, on an individual basis. Judgment on the award may be entered in any court with jurisdiction.
  • Small-claims carve-out: either party may instead bring an individual claim in small claims court if it qualifies there.
  • CLASS ACTION WAIVER: ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) proceeds in court, and the rest of this section still applies.
  • 30-day opt-out: you may opt out of this arbitration provision by sending written notice within 30 days of first accepting these Terms to legal@livecastsystems.com or by mail to registered business address available on request via support@livecastsystems.com, including your name, account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
  • Acknowledgment: this provision is presented at signup with its own checkbox acknowledgment.

18. General terms

  • Governing law: Delaware law governs these Terms, without regard to conflict-of-law rules.
  • Entire agreement: these Terms, the Privacy Policy, the Data Processing Addendum, and the Refund and Cancellation page are the entire agreement between you and LiveCast about the Service.
  • Changes: we may update these Terms. For material changes, we will email you at least 14 days before they take effect. Continued use after the effective date is acceptance.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • Notices: we send notices to your account email. Send legal notices to legal@livecastsystems.com or registered business address available on request via support@livecastsystems.com.
  • Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control.
  • No waiver: not enforcing a provision is not a waiver of it.
